We serve our clients in all corporate law matters, including laws on corporate groups and transformation. Very often, our advise is linked to matters relating to Mergers & Acquisitions and Venture Capital & Private Equity.
We advise buyers, sellers and target enterprises in all stages of M&A transactions. In M&A transactions, we take the legal lead and frequently cooperate with specialized lawyers from our network (e.g. labour law, IP-law).
We are familiar with the specifics of venture capital and private equity transactions. We advise investors, entrepreneurs and managers, inter alia, on M&A transactions, financing rounds and management participation programmes.
We advise family-owned enterprises and family entrepreneurs in company succession matters. Besides succession and corporate law issues, we take into account tax and economic aspects. Together with our clients we also develop alternatives to the company succession (e.g. foundation models, company sale).
Notary
Our notary’s office provides all notarial services for domestic and foreign enterprises, investors and private individuals. The focus lies on corporate and real estate law, including complex corporate and real estate transactions. We develop balanced, clear and secure legal structures which shall last over the long term and serve the interests of all parties involved. We notarize in the German and the English language.
We serve our clients in all notarial areas of corporate law. This includes the incorporation of companies and the transfer of shares, but also the implementation of capital and other structural measures (mergers, spin-offs, changes of the legal form). Furthermore, we notarize M&A transactions and investment rounds.
We support our clients in all real estate law issues, e.g. the removal of rights in the land register, the creation of a land charge and the sale or purchase of houses or apartments. We also take care of the division of buildings in separate ownerships and support complex projects in residential and commercial estate.
We advise in and structure property and company successions. This includes testamentary dispositions (wills and testamentary contracts), “anticipated” successions (donations) and foundation models. Moreover, we support our clients in various questions which arise after succession has occurred, e.g. petitions for certificates of inheritance and distributions of the inheritance.
In the area of marriage and family law, we help our clients to structure their marriage contract. We point out various options and legal limits for the marriage model which our clients wish to pursue.
We support our clients to structure various powers of attorney, especially general and health care powers of attorney, but also specials powers of attorney for private and business areas. Furthermore, we take care of living wills.
